Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are an agreement between you and Fleetidy LLC ("Fleetidy," "we," "our," or "us"). By accessing or using the Fleetidy platform and related services (the "Service"), you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

Fleetidy is a software platform that provides safety scoring, carrier data analysis, submission management, and related tools used by licensed insurance professionals in connection with Motor Truck Cargo and related commercial lines. The Service includes:

• FRED Score safety assessments based on FMCSA data
• Carrier search and data lookup
• Underwriting submission workflow management
• Broker and underwriter communication tools
• AI-assisted document processing and analysis
• Analytics and reporting dashboards

3. User Accounts

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for unauthorized purposes.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Upload or transmit viruses, malware, or other harmful code
• Scrape, crawl, or use automated means to access the Service without our written consent
• Share your account credentials with unauthorized third parties
• Misrepresent your identity or affiliation with any person or organization
• Use data obtained through the Service to engage in discriminatory practices

5. Data and FMCSA Information

The Service incorporates data from the Federal Motor Carrier Safety Administration (FMCSA) and other public sources. This data is provided for informational purposes only and is subject to the following:

• FMCSA data may not be current or complete at all times
• FRED Scores and safety assessments are analytical tools, not guarantees of carrier performance
• Underwriting decisions should incorporate multiple factors beyond the data provided by this Service
• We do not warrant the accuracy, completeness, or reliability of any third-party data

The FRED Score is Fleetidy's analytical opinion and is not an FMCSA safety rating. Unless a motor carrier has received an Unsatisfactory safety rating under 49 CFR Part 385 or has otherwise been ordered to discontinue operations by FMCSA, it is authorized to operate. Motor carriers may dispute a score or request a correction at fleetidy.com/dispute.

6. Permissible Use of Carrier Data

The Service compiles publicly available motor carrier data and produces analytical output about commercial motor carriers. By accessing FRED Scores, grades, carrier records, or any other carrier data through the Service, you certify and agree to each of the following.

Legitimate business purpose

You will access and use FRED Scores and carrier data only for legitimate business purposes relating to the underwriting, placement, servicing, or analysis of commercial insurance, or to your own business relationship with the carrier. You will not access carrier data out of personal curiosity, to harass or disparage any carrier or individual, or for resale or redistribution except as we have authorized in writing.

Not a consumer reporting agency

Fleetidy is not a consumer reporting agency as defined by the federal Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq. ("FCRA"), and the data made available through the Service is not a consumer report and is not assembled, evaluated, or furnished as a consumer report. The Service is not designed, tested, or intended to meet FCRA requirements, and we do not provide the notices, dispute procedures, accuracy assurances, or adverse-action mechanisms that the FCRA requires of consumer reporting agencies.

Prohibited FCRA uses

You agree that you will not use FRED Scores or any data obtained through the Service, in whole or in part:

• as a factor in establishing an individual's eligibility for credit, insurance, employment, housing, or any other purpose enumerated in 15 U.S.C. § 1681b;
• as the sole basis for any decision regarding an individual's eligibility for insurance, credit, or employment;
• for employment purposes, including hiring, promotion, reassignment, retention, or driver qualification decisions about any individual;
• for tenant screening, or for any other purpose covered by the FCRA or by any analogous state consumer reporting or credit reporting statute.

Where a motor carrier is a sole proprietorship, owner-operator, or other business whose records necessarily describe an identifiable individual, you accept that you bear sole responsibility for ensuring that your own use of that data complies with the FCRA and all other applicable law, and that you will independently verify any information before taking action that affects that individual.

Not the sole basis for a decision

FRED Scores are probabilistic estimates derived from public data. You agree that you will not treat a FRED Score, grade, flag, or warning as the sole basis for declining, cancelling, non-renewing, rating, or pricing any risk, and that you will exercise independent professional judgment and comply with all applicable insurance laws and regulations — including any requirement to disclose the basis of an adverse underwriting decision.

Your right to access carrier data through the Service is conditioned on your compliance with this Section 6. We may suspend or terminate access for any use that we reasonably believe violates it.

7. Fees

The Service is currently provided to you at no charge. There is no subscription, no recurring billing, and no payment method is collected. If we introduce fees in the future, they will be governed by a separate written order form, subscription agreement, or master services agreement that you enter into with us, and no fee will apply to you without your prior agreement to it.

8. Intellectual Property

The Service, including its design, features, FRED Score methodology, and content (excluding user-submitted data and public FMCSA data), is the property of Fleetidy and is protected by intellectual property laws.

You retain ownership of any data you submit to the Service. By submitting data, you grant us a limited license to use, process, and store it as necessary to provide the Service.

9. Confidentiality

This Section imposes two distinct obligations, running in opposite directions.

Your obligation to us

"Fleetidy Confidential Information" means our proprietary scoring data and outputs, the FRED Score methodology and any non-public component of it, our non-public analytics, rating logic, benchmarks and cohort statistics, and any other non-public information about the Service that we make available to you. You will not disclose Fleetidy Confidential Information to any third party, and will use it only to use the Service as permitted by these Terms. This does not restrict your use of public FMCSA data, nor your ordinary use of FRED Scores within your own organization and with the insurers, brokers, and clients involved in a specific risk you are working on.

Our obligation to you

"Your Confidential Information" means the underwriting and business data you submit to or generate in the Service — including submissions, applications, loss runs, claims data, quotes, rating worksheets, pricing, internal notes, messages, and attachments. We will hold Your Confidential Information in confidence; will not disclose it to any third party except to subprocessors acting on our behalf under written confidentiality obligations at least as protective as these Terms, or where legally compelled; and will use it only to provide and improve the Service for you, to meet our legal obligations, and as described in our Privacy Policy. We will not disclose Your Confidential Information to another customer of the Service, and we will not use it to compete with you.

Neither party's obligations apply to information that is or becomes public through no fault of the receiving party, was rightfully known to the receiving party without restriction before disclosure, or is independently developed without use of the other party's confidential information. Where disclosure is legally compelled, the disclosing party will, where legally permitted, give the other party reasonable advance notice.

These obligations survive termination for so long as the information remains confidential.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not make any representations regarding the accuracy or reliability of the FRED Scores or any data provided through the Service for underwriting decisions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLEETIDY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Fleetidy and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, your violation of Section 6 (Permissible Use of Carrier Data), or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will survive, including Sections 6, 8, 9, 10, 11, 12, and 14.

You may terminate your account at any time — in the FRED mobile app, from your account settings; on the web, by contacting us at privacy@fleetidy.com. Because the Service is provided at no charge, terminating your account carries no fee, penalty, or notice period. We will make reasonable efforts to delete your data upon request, subject to legal retention requirements.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in New York County, New York.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
