Terms of Service

1. Acceptance of Terms

By accessing or using the Fleetidy platform and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

Fleetidy is a Motor Truck Cargo underwriting platform that provides safety scoring, carrier data analysis, submission management, and related tools for insurance professionals. The Service includes:

• FRED Score safety assessments based on FMCSA data
• Carrier search and data lookup
• Underwriting submission workflow management
• Broker and underwriter communication tools
• AI-assisted document processing and analysis
• Analytics and reporting dashboards

3. User Accounts

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for unauthorized purposes.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Upload or transmit viruses, malware, or other harmful code
• Scrape, crawl, or use automated means to access the Service without our written consent
• Share your account credentials with unauthorized third parties
• Misrepresent your identity or affiliation with any person or organization
• Use data obtained through the Service to engage in discriminatory practices

5. Data and FMCSA Information

The Service incorporates data from the Federal Motor Carrier Safety Administration (FMCSA) and other public sources. This data is provided for informational purposes only and is subject to the following:

• FMCSA data may not be current or complete at all times
• FRED Scores and safety assessments are analytical tools, not guarantees of carrier performance
• Underwriting decisions should incorporate multiple factors beyond the data provided by this Service
• We do not warrant the accuracy, completeness, or reliability of any third-party data

6. Intellectual Property

The Service, including its design, features, FRED Score methodology, and content (excluding user-submitted data and public FMCSA data), is the property of Fleetidy and is protected by intellectual property laws.

You retain ownership of any data you submit to the Service. By submitting data, you grant us a limited license to use, process, and store it as necessary to provide the Service.

7. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information. Underwriting submissions, internal communications, and proprietary scoring data shared through the Service are considered confidential and shall not be disclosed to unauthorized third parties.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not make any representations regarding the accuracy or reliability of the FRED Scores or any data provided through the Service for underwriting decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLEETIDY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Fleetidy and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will survive, including Sections 6, 8, 9, 10, and 12.

You may terminate your account at any time by contacting us. We will make reasonable efforts to delete your data upon request, subject to legal retention requirements.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in New York County, New York.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
